(“Scala Technologies”, “we”, “our”, or “us”) for any services, you agree to be bound by these Terms of Service and our Privacy Policy. 2. Services
Scala Technologies provides digital transformation services including but not limited to web development, AI solutions, UI/UX design, social media management, digital strategy, and custom product development.
The specific scope, deliverables, timeline, and commercial terms for any engagement are governed by a separate Statement of Work or Service Agreement entered into between Scala Technologies and the client. In the event of any conflict between these Terms of Service and a signed Service Agreement, the Service Agreement shall prevail.
3. Use of the Website
You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment. You must not:
- Use the site in any way that violates applicable local, national, or international laws or regulations.
- Transmit unsolicited promotional material, spam, or any other form of unsolicited communication.
- Attempt to gain unauthorised access to any part of the website, server, or database connected to the website.
- Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.

5. Client Responsibilities
Clients engaging Scala Technologies for services agree to:
- Provide accurate, complete, and timely information, materials, and feedback required to deliver the agreed services.
- Ensure that any materials, content, or assets provided to us do not infringe the intellectual property or other rights of any third party.
- Make payments in accordance with the agreed schedule. Failure to do so may result in suspension of services.
- Obtain all necessary licences, consents, and permissions required for the project before providing materials to us.
6. Payment Terms
Unless otherwise agreed in a signed Service Agreement, the following default payment terms apply:
- Project deposit — 50% of the agreed project fee is due prior to the commencement of work.
- Final payment — the remaining balance is due upon project completion, prior to handover of final deliverables.
- Late payments — invoices unpaid after 14 days of the due date may incur a late fee of 2% per month on the outstanding balance.
All fees are exclusive of applicable taxes unless stated otherwise. Clients are responsible for any taxes applicable in their jurisdiction.
7. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of an engagement (“Confidential Information”). Neither party shall disclose Confidential Information to third parties without the other party's prior written consent, except as required by law.
This obligation survives the termination of any service agreement between the parties for a period of two (2) years.
8. Disclaimer of Warranties
This website and its content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
We make no representations or warranties regarding the accuracy or completeness of any content on the website. Any reliance you place on such content is strictly at your own risk.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Scala Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising from your use of or inability to use this website or our services.
Our total aggregate liability to any client shall not exceed the total fees paid by that client to Scala Technologies in the three (3) months immediately preceding the event giving rise to the claim.
10. Termination
Either party may terminate a service engagement by providing written notice in accordance with the terms of the applicable Service Agreement. In the absence of a Service Agreement, either party may terminate with 14 days' written notice.
Upon termination, the client shall pay for all work completed up to the date of termination. We reserve the right to withhold final deliverables until all outstanding fees are settled.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Nepal. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.
